1. Definitions

• "Quorva", "we", "us", "our" — Quorva, a business consulting firm registered in Vietnam, operating from 88 Le Hong Phong, Ngo Quyen District, Hai Phong 180000
• "Services" — the consulting services offered by Quorva, including Regulatory Change Advisory, Brand Positioning Workshop, and Business Exit Planning
• "Client", "you", "your" — any individual or organisation that accesses our website, submits an enquiry, or enters into an engagement agreement with Quorva
• "Agreement" — the formal engagement agreement signed between Quorva and a client for specific services
• "Content" — any information, documents, reports, or materials produced by Quorva in connection with a service engagement

2. Acceptance of Terms

By accessing our website at quorvev.live, submitting a contact form, or entering into a service engagement, you agree to be bound by these Terms and Conditions. If you are entering into an agreement on behalf of an organisation, you represent that you have authority to bind that organisation. These terms apply to individuals aged 18 and over who have the capacity to enter into a binding agreement.

3. Service Description

Quorva provides business consulting services in Vietnam. Our three primary services are:

• Regulatory Change Advisory — ongoing monitoring and advisory on regulatory developments, delivered as a quarterly retainer. Commences with a baseline landscape review.
• Brand Positioning Workshop — a three-day facilitated workshop including pre-workshop research and structured written outputs.
• Business Exit Planning — an eight-to-twelve-week engagement covering business valuation, documentation, and transaction advisory.

The specific scope, deliverables, and terms of each engagement are defined in a separate written Agreement. These Terms apply alongside and do not replace that Agreement.

4. User Responsibilities

When engaging with Quorva — through our website or in a formal engagement — you agree to:

• Provide accurate and complete information relevant to the services requested
• Notify Quorva promptly of any change in circumstances that materially affects the engagement
• Not use our website or services for any unlawful purpose
• Not reproduce, distribute, or use our Content without written permission
• Respect the confidentiality of any information shared by Quorva in the course of an engagement

5. Intellectual Property

All methodologies, frameworks, templates, and website content are the intellectual property of Quorva. Materials produced as part of a client engagement are delivered under a limited, non-exclusive licence for the client's own business use. They may not be sublicenced, sold, or used to develop competing consulting services without prior written consent.

6. Payment Terms

Service fees are as set out in the relevant Agreement, denominated in Vietnamese Dong (₫). Payment schedules are agreed per engagement. Late payments may incur interest at a rate consistent with applicable Vietnamese commercial law. All pricing is exclusive of any applicable taxes unless otherwise stated.

7. Disclaimers

Quorva's advisory is provided in good faith and based on information available at the time of delivery. Consulting advice does not constitute legal, financial, or accounting advice. Clients are advised to seek appropriate professional advice before taking significant business decisions. Quorva does not warrant specific business outcomes from engagement with its services. Website content is provided for general information purposes only.

8. Limitation of Liability

To the maximum extent permitted under Vietnamese law, Quorva's total liability to a client arising from any service engagement shall not exceed the total fees paid by that client for the specific engagement from which the claim arises. Quorva shall not be liable for indirect, consequential, or punitive damages, loss of business, or lost profits. Force majeure events — including regulatory changes, natural events, or government actions outside Quorva's control — will not constitute a breach of any Agreement.

9. Termination

Either party may terminate an engagement Agreement with written notice as specified in that Agreement. In the event of termination, the client is responsible for payment of fees for work completed to the date of termination. Provisions relating to confidentiality, intellectual property, and dispute resolution survive termination.

10. Governing Law and Dispute Resolution

These Terms and any Agreements between Quorva and its clients are governed by the laws of the Socialist Republic of Vietnam. In the event of a dispute, the parties will first attempt to resolve the matter through good-faith negotiation within thirty days of written notice. If unresolved, disputes shall be referred to the competent courts of Hai Phong, Vietnam.

11. Changes to These Terms

Quorva may update these Terms from time to time. Updates will be communicated by revising the "Last Updated" date above. Continued engagement with our services following any update constitutes acceptance of the revised Terms. Material changes affecting active engagements will be communicated directly to affected clients.
